Access to and management of a legal entity’s electronic mailbox
A legal entity for which an electronic mailbox has been established is the owner of the mailbox and is entitled to access and manage it in accordance with and in the manner stipulated by the e-Government Act.
The following persons are authorized to access and manage the electronic mailbox of a legal entity:
the statutory body or a member of the statutory body of the legal entity for which the electronic mailbox was automatically established;
a person authorized by the statutory body or a member of the statutory body of the legal entity for which the mailbox was established, to the extent specified by the statutory body or its member.
The statutory representative or a person authorized by them may log in to the mailbox only by using an identity card with an electronic chip and a Personal Security Code (BOK), a residence document with an electronic chip and a Personal Security Code, or an alternative authenticator.
Pursuant to Section 22a of Act No. 305/2013 Coll. on e-Government, a legal entity may also access and manage its electronic mailbox automatically by using a technical or software tool and an authentication qualified certificate.
Authorization to access and manage an electronic mailbox, as well as any changes to such authorization, are made by the mailbox owner through the designated function of the electronic mailbox.
If a legal entity has multiple statutory representatives, each of them has the same rights to access and manage the legal entity’s electronic mailbox.
Each statutory representative logs in separately using their own identity card with an electronic chip and an activated Online function. After entering their Personal Security Code, they select the option to log in as a legal entity (using its Company ID Number / IČO).
For the purpose of logging in to electronic mailboxes established under the e-Government Act, authentication (i.e. the process of verifying the identity of the person logging in) may only be performed using an identity card with an electronic chip and a Personal Security Code, a residence document with an electronic chip and a Personal Security Code, or an alternative authenticator.
A legal entity may also access and manage its electronic mailbox automatically by using a technical or software tool and an authentication qualified certificate.
If the statutory representative is a foreign individual or legal entity, they cannot obtain a Slovak identity card with an electronic chip, as such identity cards are linked to Slovak citizenship. The issuance of residence documents for foreigners is governed by Act No. 404/2011 Coll. on the Residence of Foreigners. Upon request, such a residence document may also contain an electronic chip, which is issued by the relevant Slovak police department.
Logging in to electronic mailboxes using an alternative authenticator is not currently available. The issuance of alternative authenticators falls within the competence of the Ministry of the Interior of the Slovak Republic.
If the statutory representative of a legal entity is a foreign national, they may authorize an authorized person (a Slovak citizen with permanent residence in the territory of the Slovak Republic) to have full access to the legal entity’s electronic mailbox.
The authorization must be submitted in paper form by the statutory representative of the legal entity, with their signature officially certified. The authorization should be sent to: National Agency for Network and Electronic Services (NASES), Tower 115, Pribinova 25, 811 09 Bratislava, Slovak Republic.
Since 1 March 2017, a foreign statutory representative may, pursuant to a decree of the Ministry of the Interior of the Slovak Republic, apply for the issuance of an alternative authenticatorOpens in a new window.
If you are unable to log in to the electronic mailbox as a statutory representative of a legal entity, this may be because representation rights for the mailbox have not been established for you on the portal (e.g. because you are a foreign statutory representative), or because the statutory representative has changed their first or last name and this information has not been synchronized with the information recorded in the Commercial Register, among other possible reasons.
What should you do if an error message appears when electronically granting authorization to access and manage a legal entity’s electronic mailbox?
A legal entity (hereinafter referred to as the “legal entity”) for which an electronic mailbox has been established is the owner of the mailbox and is entitled to access and manage it in accordance with and in the manner stipulated by the e-Government Act.
The statutory body or a member of the statutory body of the legal entity for which the electronic mailbox was established, or a person who has been granted authorization, may access and manage the legal entity’s electronic mailbox automatically by operation of law.
Full or partial authorization to access and manage an electronic mailbox, as well as changes to such authorization, may be granted through a paper application available on the slovensko.sk portal in the “FormsOpens in a new window” section or through the designated function directly in the electronic mailbox. The owner of an electronic mailbox (in this case, the company) may authorize another company to administer the electronic mailbox. This means that it may grant that company permission to perform individual actions in the mailbox or grant it full authority to manage the electronic mailbox.
The procedure below should only be followed if you are authorized to transfer authorization to another person and an error message appears when attempting to grant the authorization electronically through the electronic mailbox. In practice, this issue has been recorded in cases involving the transfer of authorizations through multiple levels between legal entities.
Example: The statutory representative of an LLC grants another LLC authorization that may be transferred to another person. That LLC subsequently grants authorization to a limited partnership whose general partner is another legal entity.
If you have authorization to access and manage a legal entity’s electronic mailbox, including the right to transfer this authorization, log in to www.slovensko.sk on behalf of the legal entity and, on the portal’s home page, click on “General Agenda.”
Select the service provider – Central Public Administration Portal.
In the subject line of the message, enter: “Application for granting authorization to access and manage an electronic mailbox – electronically.”
In the message, provide a brief description of your request, stating that you are requesting authorization to access and manage the electronic mailbox but, despite having the right to transfer the authorization to another person, you were unable to do so electronically (i.e. an error message appeared when attempting to grant the authorization electronically).
Attach the completed application containing the basic information regarding who is granting authorization to whom (first name, surname, birth number and, where applicable, Company ID Number / IČO), the validity period of the authorization (from–to), and the scope of the authorization (full or partial access). The relevant application is available in PDF format on the slovensko.sk portal, specifically in the “Forms” section.
Sign the message with a valid Qualified Electronic Signature (QES) of the person who has the right to transfer the authorization.
Send the message.
An informational message confirming the transfer of the authorization will subsequently be delivered to your electronic mailbox.
