Change of the articles of association of a civic association, trade union organization, or employers’ organization

Guide to changing the articles of association

    The notification of a change to the articles of association may be filed by:

    • the statutory body of the organization, or
    • an authorized person acting under a power of attorney.

    The change to the articles of association must be decided by the body specified in the organization’s current articles of association. This may be, for example:

    • the general assembly,
    • the members’ meeting,
    • the conference,
    • the board of directors,
    • the members’ council,
    • the presidium,
    • another body specified in the articles of association.

    You can prepare the change to the articles of association:

    • as an amendment to the articles of association, precisely stating what is being changed and how, or
    • as a complete new wording of the articles of association.

    You can file the notification electronically or in paper form.

    Electronic submission

    The notification must be signed by:

    • the statutory body of the organization, or
    • an authorized person acting under a power of attorney.

    Use a qualified electronic signature (KEP)Opens in a new window to sign.

    Attach:

    • the amendment to the articles of association or the complete new wording of the articles of association,
    • a power of attorney, if the notification is filed by an authorized person,
    • any further attachments, if required (for example the minutes of the meeting).

    How to proceed

    1. Fill in the electronic form.
    2. Attach all required attachments.
    3. Sign the submission with a qualified electronic signature ().
    4. Submit the form.
    5. Pay the administrative fee based on the payment order, which will be delivered to your electronic mailbox after the submission is sent.

    Good to know:

    • The administrative fee for an electronic submission is reduced by half, i.e. €12.50.
    • Trade union organizations and employers’ organizations are exempt from paying the administrative fee.

     

    Paper submission
    Deliver the notification in person or by post to the district office in the region seat that is competent according to the registered office of the civic association, trade union organization, or employers’ organization (hereinafter the “registration authority”).

    The notification may be filed by:

    • the statutory body of the organization, or
    • an authorized person acting under a power of attorney.

    The authenticity of the signature does not need to be officially certified.

    State in the notification:

    • the name, registered office, and company identification number (IČO) of the organization,
    • the name of the body that decided on the change to the articles of association,
    • the date the decision on the change to the articles of association was adopted.

    Attach:

    • the amendment to the articles of association or the complete new wording of the articles of association,
    • a power of attorney, if the notification is filed by an authorized person,
    • confirmation of payment of the administrative fee in the amount of €25,
    • any further attachments, if required (for example the minutes of the meeting).

    • Trade union organizations and employers’ organizations are exempt from paying the administrative fee.

    After receiving the notification, the registration authority checks whether it contains all the required data and attachments.

     

    If the notification is in order
    If the notification meets all conditions, the registration authority sends the organization or the authorized person one copy of the articles of association marked to indicate that it takes note of the change to the articles of association.


    It delivers the articles of association in paper form to the address of the organization’s registered office.

     

    If the notification contains deficiencies
    If the registration authority finds that the notification does not comply with the Act on the Association of Citizens or contains incomplete or incorrect data, it will notify you of these deficiencies.


    It delivers the notice to the electronic mailbox of the organization or the authorized person.
