Setting up an organization with an international element

An organization with an international element can be established by a foreign legal person.

Determine the person who will be the organization’s statutory body.

Prepare these details:

• given name,
• surname,
• address of permanent residence,
• date of birth,
• birth number.

The statutory body can also be a person who is not a citizen of the Slovak Republic.

The statutes must contain:

• the organization’s name,
• the organization’s registered office – state an address in the territory of the Slovak Republic, including the city district (in the case of Bratislava or Košice), registration and orientation number; if the municipality has no streets, state only the registration number, postal code,
• the object and objectives of the activity the organization wants to carry out in the territory of the Slovak Republic,
• details of the statutory body (given name, surname, address of permanent residence, date of birth, birth number),
• the method of establishing the bodies and their powers,
• the organization’s method of financial management.

Good to know: The statutes of an organization with an international element do not need to be signed.

You can submit the application electronically or in paper form.

Electronic submission

The application must be signed by:

• the organization’s statutory body, or
• an authorized person based on a power of attorney.

Use a qualified electronic signature (KEP) for the signature.

Attach:

• a document of the foreign legal person governing its organizational structure and the content of its activity (for example statutes or a charter – an officially certified translation),
• an extract of the foreign legal person from the register in which it is recorded,
• the statutes of the organization with an international element in the Slovak language, according to which it will carry out its activity in the territory of the Slovak Republic,
• an extract from the resolution of the relevant body of the foreign legal person on carrying out activity in the territory of the Slovak Republic,
• a power of attorney, if the application is submitted by an authorized person.

How to proceed

1. Fill in the electronic form.
2. Attach all required annexes.
3. Sign the submission with a qualified electronic signature (KEP).
4. Send the form.
5. You will pay the administrative fee based on a payment order that will be delivered to your electronic mailbox after the submission is sent.

Good to know: For electronic filing, the administrative fee is reduced by half, i.e. €50.

Paper submission
You can submit the application in person or by post to the address of the Ministry of the Interior of the SR (hereinafter “the registration authority”):

The application is submitted by the organization, represented by the statutory body or an authorized person based on a power of attorney.

State in the application:

• the organization’s name,
• the organization’s registered office in the territory of the Slovak Republic,
• the object of its activity,
• details of the organization’s statutory body,
• details of the foreign legal person applying for the establishment of the organization with an international element.

The application is signed by the statutory body or an authorized person. The signature does not need to be officially certified.

Attach:

• a document of the foreign legal person governing its organizational structure and the content of its activity (for example statutes or a charter – an officially certified translation),
• an extract of the foreign legal person from the register in which it is recorded,
• two copies of the statutes of the organization with an international element in the Slovak language, according to which it will carry out its activity in the territory of the Slovak Republic,
• an extract from the resolution of the relevant body of the foreign legal person on carrying out activity in the territory of the Slovak Republic,
• a power of attorney, if the application is submitted by an authorized person,
• confirmation of payment of the administrative fee in the amount of €100.

After receiving the application, the registration authority will assess whether the conditions for establishing an organization with an international element are met.

If the application is in order
If the registration authority finds no reason to reject the application, in agreement with the Ministry of Foreign and European Affairs of the Slovak Republic and after consultation with the relevant central state administration authorities, it may permit:

• the establishment of the organization with an international element in the territory of the Slovak Republic,
• carrying out its activity in the territory of the Slovak Republic, or
• having a registered office in the territory of the Slovak Republic.

The decision will be delivered to the applicant’s or authorized person’s electronic mailbox. At the same time, in paper form, it will send one copy of the statutes together with a notification of the assignment of the company identification number (IČO).

If the application needs to be supplemented
If the registration authority finds deficiencies, within 30 days of receiving the application it will call on the applicant or the authorized person to remedy them. The call will be delivered to the applicant’s or authorized person’s electronic mailbox.
