Changes in a foundation

Do you want to change the name, registered office, or text of the deed of foundation of your foundation? This guide will show you how to proceed step by step.

Guide to changing the registered data of a foundation

    The proposal to register a change to the registered data may be filed by:

    •    the foundation’s administrator, or
    •    an authorized person acting under a power of attorney.

    Important: The foundation’s administrator is required to file the proposal to register a change to the registered data within 15 days of the day the change occurred.

    If the foundation’s administrator registered in the register, or the person authorized by them, does not file the proposal to register the change within the 15-day period, the foundation’s administrator elected in accordance with the foundation’s deed of foundation is entitled to do so. Authority to act on behalf of the foundation is proven by the board of trustees’ decision electing them to the position.

    The change to the registered data must be decided by the body specified in the deed of foundation.

    This may be:

    •    the board of trustees, or
    •    the founder of the foundation.

    You can prepare the change to the deed of foundation:

    •    as an amendment to the deed of foundation, precisely stating which article of the deed of foundation is changing and how. The amendment may also contain the complete wording of the deed of foundation,
    •    as a complete new wording of the deed of foundation.

    You can file the proposal electronically or in paper form.

    The proposal must be signed by the foundation’s administrator, or by an authorized person acting under a power of attorney, with a qualified electronic signature (KEP).Opens in a new window

    Attach:

    •    the amendment to the deed of foundation or the complete new wording of the deed of foundation, signed with the qualified electronic signature of the chair of the board of trustees; if the chair of the board of trustees does not have a qualified electronic signature, attach the document in the form of a guaranteed conversion,
    •    a power of attorney, if the proposal is filed by an authorized person,
    •    the foundation administrator’s details needed to request an extract from the criminal record register, if the administrator is being changed,
    •    the decision on the change to the deed of foundation (for example the minutes of the board of trustees meeting or the founder’s decision).

    How to proceed

    1.    Fill in the electronic form.
    2.    Attach all required attachments.
    3.    Sign the proposal with a qualified electronic signature ().
    4.    Submit the form.
    5.    Pay the administrative fee based on the payment order, which will be delivered to your electronic mailbox after the proposal is sent.

    Signing the electronic form by multiple persons
    If the proposal or its attachments are signed by more than one person, use the Sign by multiple persons function.

    Good to know: For an electronic submission, the administrative fee is reduced by half, i.e. €12.50.

    Paper submission
    Deliver the proposal in person or by post to:

    Ministry of the Interior of the Slovak Republic
    Section of Public Administration
    Department of General Internal Administration
    Štefánikova 15
    812 19 Bratislava

    The proposal is filed by the foundation’s administrator or an authorized person. The signature must be officially certified.

    State in the proposal:

    •    the name, registered office, and company identification number (IČO) of the foundation,
    •    the body that decided on the change to the deed of foundation,
    •    the date the decision on the change was adopted,
    •    a description of the registered change.

    Attach:

    •    the amendment to the deed of foundation or the complete new wording of the deed of foundation with the officially certified signature of the chair of the board of trustees,
    •    a power of attorney, if the proposal is filed by an authorized person,
    •    the foundation administrator’s details needed to request an extract from the criminal record register, if the administrator is being changed,
    •    the decision on the change to the deed of foundation (for example the minutes of the board of trustees meeting or the founder’s decision),
    •    confirmation of payment of the administrative fee in the amount of €25.

    Good to know: You can pay the administrative fee using a Confirmation of payment of an administrative or court fee, available at branches of the Slovak Post.     After receiving the proposal, the registration authority checks whether it contains all the required data and attachments.

    If the proposal is in order
    If the proposal meets all statutory conditions, the registration authority registers the change to the registered data in the register within 30 days.

    It then sends the foundation:

    •    in paper form, the amendment to the deed of foundation or the complete wording of the deed of foundation marked with the date the change was taken into account,
    •    in the case of a change of the foundation’s administrator, a notice of the registration in the Register of Non-Governmental Non-Profit Organizations, delivered to the electronic mailbox.

    If the proposal contains deficiencies
    If the registration authority finds deficiencies, it will notify you and request that you remedy them within 30 days of receiving the proposal. It delivers the notice to the electronic mailbox of the foundation or the authorized person.
